1. Acceptance & scope
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "User") and Sancto Structure LLC (Delaware, USA) together with Sancto Structure d.o.o. (Podgorica, Montenegro) (collectively "Sancto", "we", "our"). The Terms apply to your access to and use of the website at sancto.me (the "Site") and any materials, downloadable assets and forms presented on the Site. By accessing the Site you accept these Terms. If you do not accept, do not use the Site.
2. Nature of content — no binding offer
All information on the Site, including descriptions of services, productized packages, monthly subscriptions, fractional retainers, per-project tiers, time estimates and pricing, is provided for general information and reference only. It does not constitute a public offer under U.S. common law, an "offer" within the meaning of Art. 14 of the United Nations Convention on Contracts for the International Sale of Goods (CISG), or a binding contractual proposal under E.U. consumer-protection rules or Montenegrin law. No agreement is formed until a written, mutually signed Statement of Work or master services agreement is executed.
3. Services & engagement
Where you wish to engage Sancto for paid services, the engagement is governed by a separate Statement of Work that, together with any framework Master Services Agreement, prevails over these Terms in case of conflict for that engagement. Scope, fees, milestones, acceptance criteria, IP allocation, warranties and other commercial terms are set out there.
4. Pricing
Prices, packages and figures published on the Site are indicative and subject to change without prior notice. Final pricing is determined only after a scoping assessment of your specific requirements and is fixed in the Statement of Work. Currency, payment schedule, taxes and pass-through costs (such as third-party AI model tokens, hosting and telephony) are addressed in the SoW.
5. Intellectual property
All text, design, code, photography, illustrations, identity systems, methodologies and frameworks displayed on the Site (the "Materials") are owned by Sancto or its licensors and are protected under, without limitation, Title 17 of the United States Code; the European Union InfoSoc Directive (2001/29/EC), the DSM Directive (2019/790/EU) and national implementations; the Montenegrin Law on Copyright and Related Rights; and applicable international instruments (Berne Convention, TRIPS, WIPO Copyright Treaty).
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Materials for your personal, non-commercial evaluation of Sancto's services. Any reproduction, distribution, modification, public display, performance, scraping, training of machine-learning or generative-AI systems on the Materials, or other commercial use — in whole or in part — without prior written authorisation from Sancto is strictly prohibited. Brand names "Sancto", "Sancto Structure", "Sancto Studio", "Sancto AI", "Sancto Tech", "Sancto CS", "Sancto AVD" and associated logos are trademarks of Sancto.
6. User conduct
You agree not to: (a) use the Site in violation of any applicable law; (b) circumvent technical protection measures or attempt to gain unauthorised access; (c) probe, scan, or test the vulnerability of the Site without prior written authorisation; (d) introduce malware, viruses or harmful code; (e) use bots, scrapers, or other automated means to collect Materials in volume; (f) misrepresent your identity in any communication initiated from the Site; (g) infringe the rights of Sancto or any third party.
7. Confidentiality of communications
Any information you submit through the contact form is treated as confidential to the extent practical, but should not be treated as legally privileged unless and until a written engagement letter or NDA is in place. Do not submit trade secrets, regulated data, or materials whose unauthorised disclosure could harm you, without first executing a mutual NDA — available on request.
8. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Site and all Materials are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise — including without limitation implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement and freedom from defects or interruptions. Sancto does not warrant that the Site will be uninterrupted, secure or free of errors, or that defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Sancto, its officers, directors, employees, agents, affiliates or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages — including without limitation loss of profits, revenue, data, business opportunity or goodwill — arising out of or in connection with your access to or use of the Site, even if advised of the possibility of such damages. Sancto's aggregate liability for any direct damages arising from your use of the Site (as distinct from a paid engagement) is limited to the greater of (i) USD 100 or (ii) any amounts paid by you to Sancto in respect of Site access in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law (including, where applicable, liability for gross negligence, wilful misconduct, death or personal injury).
10. Indemnification
You agree to indemnify, defend and hold harmless Sancto from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site or Materials; (c) your infringement of any third-party right; (d) any submission you make via the Site that is false, misleading or unlawful.
11. Term & termination
These Terms remain effective while you access or use the Site. We may suspend or terminate your access at any time, with or without cause, and without notice. Sections 5–14 survive termination.
12. Force majeure
Sancto is not liable for any failure or delay in the operation of the Site caused by events beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, governmental action, sanctions, embargoes, internet outages, hosting failures, denial-of-service attacks or labour disputes.
13. Governing law & jurisdiction
13.1 Users in the Americas and outside the EU
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute that is not subject to arbitration under §14.
13.2 Users in the EU and Montenegro
Mandatory consumer-protection provisions of your country of residence remain unaffected. With respect to commercial (B2B) users, these Terms are governed by the laws of Montenegro, with exclusive jurisdiction in the Commercial Court of Podgorica.
14. Dispute resolution
The parties will first attempt to resolve any dispute amicably within 30 days of written notice. Failing that, disputes will be finally resolved by arbitration administered by the International Chamber of Commerce (ICC) under its Rules, by one arbitrator, in English, with the seat of arbitration in London. Each party retains the right to seek injunctive relief in a competent court at any time.
15. General provisions
Entire agreement. These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Sancto regarding the Site and supersede any prior agreements on the same subject matter. Severability. If any provision is held unenforceable, the remaining provisions remain in effect. No waiver. Failure to enforce any provision is not a waiver. Assignment. You may not assign these Terms; Sancto may assign them in connection with a merger, acquisition or sale of assets. Notices. To Sancto: legal@sancto.me. Настоящие Условия использования («Условия») образуют юридически обязывающее соглашение между вами и Sancto Structure LLC (Делавэр, США) совместно с Sancto Structure d.o.o. (Подгорица, Черногория) (далее — «Sancto»). Условия применяются к доступу и использованию сайта sancto.me. Используя сайт, вы их принимаете.
2. Информация на сайте не является публичной офертой
Вся информация на сайте — включая описания услуг, тарифов, подписок, проектных пакетов, оценок сроков и цен — носит исключительно информационно-справочный характер. Она не образует обязывающего предложения по праву США, ЕС или Черногории. Договор возникает только после подписания письменного Технического задания.
3. Услуги
При желании заказать услуги отношения регулируются отдельным Техническим заданием, которое имеет приоритет над настоящими Условиями в части соответствующего проекта.
4. Цены
Опубликованные на сайте цены являются индикативными и могут быть изменены без предварительного уведомления. Окончательная цена определяется по результатам оценки требований и фиксируется в ТЗ.
5. Интеллектуальная собственность
Все материалы сайта (тексты, дизайн, код, фотографии, иллюстрации, бренд-системы, методологии) являются собственностью Sancto и охраняются законодательством США (17 U.S.C.), ЕС (Директива 2001/29/EC, InfoSoc, DSM), Черногории (Закон об авторском праве и смежных правах) и международными договорами (Бернская конвенция, TRIPS). Воспроизведение, копирование, скрейпинг, модификация, использование для обучения ML/AI-систем или коммерческое использование — полностью или в части — без письменного согласия Sancto запрещено. Товарные знаки «Sancto», «Sancto Structure» и связанные обозначения принадлежат Sancto.
6. Пользовательское поведение
Вы соглашаетесь не: нарушать применимое законодательство; обходить технические меры защиты; сканировать сайт на уязвимости без письменного разрешения; внедрять вредоносный код; использовать ботов/скрейперов для массового сбора материалов; искажать свою личность; нарушать права Sancto или третьих лиц.
7. Конфиденциальность коммуникаций
Информация из формы обратной связи рассматривается как конфиденциальная в разумных пределах. Не направляйте коммерческие тайны или регулируемые данные без предварительно подписанного NDA — доступен по запросу.
8. Отказ от гарантий
В максимально допустимом законом объёме сайт и материалы предоставляются «как есть», без каких-либо гарантий — явных, подразумеваемых, статутных или иных, включая гарантии товарного качества, пригодности, точности, полноты, ненарушения прав.
9. Ограничение ответственности
В максимально допустимом законом объёме Sancto не несёт ответственности за косвенные, побочные, специальные, штрафные или последующие убытки. Совокупная ответственность за прямые убытки от использования сайта ограничена бóльшим из (i) 100 долларов США или (ii) сумм, уплаченных вами Sancto за доступ к сайту за 12 месяцев до возникновения требования. Положения, которые не могут быть исключены по обязательному применимому праву (включая ответственность за грубую неосторожность и умышленные действия), сохраняют силу.
10. Возмещение ущерба
Вы возмещаете Sancto любые претензии третьих лиц, убытки, штрафы и расходы, возникающие из нарушения вами Условий, неправомерного использования сайта, нарушения прав третьих лиц, или направления ложных/незаконных сведений.
11. Срок действия и прекращение
Условия действуют в течение вашего использования сайта. Sancto вправе приостановить или прекратить доступ в любое время. Разделы 5–14 продолжают действие после прекращения.
12. Форс-мажор
Sancto не несёт ответственности за сбои сайта вследствие обстоятельств непреодолимой силы (стихийные бедствия, война, террор, действия органов власти, санкции, отказы интернета и хостинга, DDoS).
13. Применимое право и юрисдикция
Для пользователей в Америках и вне ЕС: право штата Делавэр (США); суды округа Нью-Касл, штат Делавэр.
Для пользователей ЕС и Черногории: императивные нормы защиты потребителей вашей страны сохраняют силу. Для B2B-пользователей — право Черногории, Коммерческий суд Подгорицы.
14. Разрешение споров
Стороны пытаются урегулировать спор переговорами в течение 30 дней. При недостижении соглашения — финальный арбитраж ICC в Лондоне (один арбитр, на английском языке). Каждая сторона сохраняет право на обращение в компетентный суд за обеспечительными мерами.
15. Общие положения
Условия вместе с Политикой конфиденциальности и Политикой cookies составляют полное соглашение. Недействительность одного положения не влияет на остальные. Уступка прав возможна только Sancto. Уведомления — на legal@sancto.me.

1. Prihvatanje i obim
Ovi Uslovi (»Uslovi«) čine pravno obavezujući sporazum između vas i Sancto Structure LLC (Delaware, SAD) zajedno sa Sancto Structure d.o.o. (Podgorica, Crna Gora) (»Sancto«). Pristupom sajtu prihvatate Uslove.
2. Sadržaj nije obavezujuća ponuda
Sve informacije na sajtu — opisi usluga, paketa, pretplata, projektnih tarifa, rokova i cijena — pružene su isključivo informativno. Ne predstavljaju obavezujuću ponudu po pravu SAD-a, EU ili Crne Gore. Ugovor nastaje samo potpisivanjem Statement of Work-a.
3. Usluge
Plaćeni angažmani regulisani su odvojenim Statement of Work-om koji prevladava nad ovim Uslovima u slučaju sukoba u dijelu tog projekta.
4. Cijene
Cijene su indikativne i mogu se mijenjati bez najave. Konačna cijena utvrđuje se nakon procjene zahtjeva i fiksira u SoW-u.
5. Intelektualna svojina
Svi materijali sajta su vlasništvo Sancto i zaštićeni Zakonom o autorskom i srodnim pravima Crne Gore, kao i pravom SAD-a, EU i RF te međunarodnim ugovorima. Reprodukovanje, kopiranje, scraping, modifikacija, trening AI sistema ili komercijalna upotreba bez pisane saglasnosti su zabranjeni.
6. Ponašanje korisnika
Ne smijete: kršiti zakon; zaobilaziti tehničke mjere; skenirati ranjivosti bez dozvole; ubacivati malware; koristiti bote i scrapere; lažno se predstavljati; kršiti prava trećih lica.
7. Povjerljivost
Informacije iz kontakt forme tretiraju se kao povjerljive u praktičnoj mjeri. Za poslovne tajne i regulisane podatke prethodno potpišite NDA — dostupan na zahtjev.
8. Odricanje garancija
U maksimalnoj dozvoljenoj mjeri sajt i materijali pružaju se »kakvi jesu«, bez garancija — izričitih ili podrazumijevanih.
9. Ograničenje odgovornosti
Sancto ne odgovara za posredne, posljedične, slučajne i kaznene štete. Ukupna odgovornost za direktne štete iz korišćenja sajta ograničena je na veće od (i) 100 USD ili (ii) iznosa koji ste platili Sancto u prethodnih 12 mjeseci. Obavezne odredbe primjenjivog prava (gruba nemarnost, namjera) ostaju na snazi.
10. Obeštećenje
Obeštećujete Sancto za zahtjeve trećih lica nastale kršenjem ovih Uslova, zloupotrebom sajta, kršenjem prava trećih ili netačnim navodima.
11. Trajanje i prestanak
Uslovi važe dok koristite sajt. Sancto može u svako doba prekinuti pristup. Tačke 5–14 nastavljaju da važe.
12. Viša sila
Sancto ne odgovara za prekide uzrokovane višom silom.
13. Mjerodavno pravo i nadležnost
Korisnici u Crnoj Gori i EU: obavezne odredbe zaštite potrošača ostaju na snazi. Za B2B — pravo Crne Gore, Privredni sud u Podgorici. Korisnici u Amerikama i van EU: pravo države Delaware, SAD.
14. Rješavanje sporova
Pregovori 30 dana, zatim konačna arbitraža ICC (London, jedan arbitar, engleski jezik). Svaka strana zadržava pravo na privremenu mjeru pred nadležnim sudom.
15. Opšte odredbe
Uslovi sa Politikom privatnosti i Politikom kolačića čine cjelokupan sporazum. Nevaljanost jedne odredbe ne utiče na ostale. Sancto može ustupiti prava povezana sa M&A. Obavještenja: legal@sancto.me.
